This Agreement constitutes a legally binding contract between you ("User" or "you") and SkillupEd Consulting, including its parent company, subsidiaries, and affiliates (collectively, "SkillupEd," "we," or "us")—governing your use of our Platform (defined below). The Platform, which includes our website (www.skilluped.com) and mobile applications, along with all associated content, services, and materials, is owned and operated by SkillupEd. Through this Platform, we provide curated, industry-focused online certification programs and trainings ("Programs").

By accessing or using our Platform, you acknowledge and agree to comply with our Terms of Use, Privacy Policy, and all other applicable policies (collectively, the "Terms"). Your continued use of the Platform or enrollment in any Programs constitutes your acceptance of these Terms. If you do not agree, you must discontinue use immediately, as any unauthorized access or participation in our Programs is strictly prohibited.

Some Programs may be subject to additional terms and conditions covering refunds, deferrals, payments, and other policies, which will operate in conjunction with these Terms. For corporate clients with existing agreements with SkillupEd, the terms of those specific agreements shall supersede any conflicting terms outlined herein.

These Terms apply to all SkillupEd-hosted services and communications channels, including but not limited to our mobile applications, WhatsApp groups, social media platforms (such as Facebook and Instagram), email/SMS/phone communications, and any other official forums we manage - all of which constitute integral parts of our Platform. Please note that certain Platform features may be powered by third-party services, and your use of these features is subject to the providers' own terms and conditions. SkillupEd cannot be held responsible for any service interruptions or issues arising from these third-party services.

Even if you bypass these Terms by directly accessing a specific section of the Platform (e.g., via bookmarking), your use remains governed by these Terms.

We may update these Terms periodically without prior notice. It is your responsibility to review them regularly. Continued use of the Platform or Programs after modifications constitutes acceptance of the revised Terms. If you disagree with any changes, you must discontinue use immediately.

SkillupEd does not guarantee that the Platform is accessible or legally permitted in all regions. Accessing the Platform from locations where its content or services are restricted or illegal is prohibited. If you choose to proceed, you do so at your own risk and are solely responsible for complying with local laws.

Links and Hyperlinks Terms:

The SkillupEd website may contain links to third-party websites for informational purposes only. We exercise no editorial control over, and disclaim all liability for, content on these external sites. Mirroring or framing any pages from SkillupEd's website on other platforms is strictly prohibited. When linking to our content: (1) Do not use spam techniques or misleading anchor text that could cause user confusion; (2) Refrain from using SkillupEd's protected trademarks, logos, or copyrighted material as links; (3) Never link from sites promoting terrorism, racism, human/animal rights violations, or explicit sexual content; (4) Avoid linking from platforms hosting illegal material or content that infringes intellectual property rights. SkillupEd reserves the right to take action against any linking practices that violate these terms or applicable laws.

You agree not to engage in any of the following prohibited activities:

Content Restrictions

Do not share, distribute, or publish any content that is defamatory, infringing, obscene, unlawful, or otherwise objectionable
Refrain from posting material that violates intellectual property rights or applicable laws/regulations

User Conduct

Do not harass, threaten, or violate the privacy/rights of other users
Avoid all forms of abusive behavior including stalking, insults, or hate speech

System Security

Never attempt unauthorized access, hacking, reverse-engineering, or source code modification
Do not upload malicious software, viruses, or harmful files

Platform Integrity

Prohibited: Spam, unauthorized promotions, commercial solicitations, or phishing attempts
Do not run disruptive scripts/services that may compromise system performance

Original Content Requirement

All submissions must be original work - plagiarism of user-generated or web content is strictly forbidden.

Proprietary Rights Statement:

The content on this website is safeguarded by trademark and copyright laws. All copyrights and trademarks belong to SkillupEd.com, its affiliates, or third-party licensors. Since the content—including text, graphics, code, and software is protected under copyright and owned by SkillupEd, you may not copy, modify, distribute, or reproduce it in any form without authorization.

Disputes Over Intellectual Property Rights:

Financial Terms :

Payment Terms: All transactions on the SkillupEd website must be paid for by the user. Ensure you review payment details carefully, including the total amount, taxes, shipping fees, and applicable discounts.

Product-Specific Terms: Certain products may have additional Terms and Conditions that must be accepted before purchase.

Order Confirmation: An invoice for your order will be sent to your registered email address.

Certificate Delivery: For participants who successfully complete a course and qualify for a certificate, it will be delivered to the provided address within 30 working days.

No Warranties: SkillupEd makes no warranties, express or implied, regarding any products or services sold on or through our platform.

Binding Terms: No additional or differing terms in purchase orders, communications, or other documents will be binding unless SkillupEd expressly agrees in writing.

Policy Changes & Discretion: SkillupEd reserves the right to modify, change, or limit order quantities at its sole discretion without prior notice. We may also refuse service to any individual.

Membership Services :

Subscription & Billing
You may subscribe to individual courses or a collection of courses ("Subscription Services"). Your chosen payment frequency (monthly, quarterly, or yearly) will determine automatic billing cycles.

Freezing & Resuming Subscriptions
You can freeze or schedule a freeze for your Subscription Services at any time. During a freeze, SkillupEd will not charge you, and access to the services will be suspended. You may resubscribe later, restarting the payment cycle from that point.

Promotions & Discounts
Limited-time discounts and promotions apply only to eligible Subscription Services displaying the offer. These offers are valid only for the specified duration and may not be available upon reactivation after cancellation.

Modifications to Services
SkillupEd reserves the right to modify Subscription Services, including adding or removing features, to enhance user experience. However, no changes will significantly reduce functionality during your active subscription term. Some services may be provided through third-party partners.

Free Trial Terms

The free trial grants access to Subscription Services until the trial ends or your paid subscription begins, whichever comes first.
During the trial, services are provided “as-is” without warranties, and SkillupEd may suspend or terminate access without notice or liability.
If you do not subscribe by the trial’s end, all data will be permanently deleted without recovery. No refunds or discounts apply post-trial.
To avoid charges after the trial, freeze or cancel via Profile > Manage Subscription.

Payment Methods

Only valid credit cards are accepted for Subscription Services.
Post-trial, automatic billing begins without further consent.
A nominal token amount may be charged during trial sign-up to verify your card; this will be refunded within 5 days.

Cancellation & Reactivation

You may cancel during the trial without charges.
Reactivated subscriptions may not retain prior discounts.
Cancelling your account requires contacting the Help & Support Team.

Taxes & Withholdings
All fees exclude applicable taxes (VAT, GST, etc.). You are responsible for any tax deductions or withholdings, ensuring SkillupEd receives the full payment amount.

Maximum Liability :

You understand and agree that the Company will not be responsible for any indirect, incidental, special, consequential, or exemplary damages—such as lost profits, goodwill, data loss, or other intangible losses—even if the Company has been advised such damages could occur. This limitation of liability applies to: (i) your use or inability to use the service; (ii) expenses incurred for substitute goods or services due to transactions, purchases, or messages made through the Website; (iii) unauthorized access to or changes in your transmissions, data, or confidential information; (iv) statements or actions by any third party related to the Products; or (v) any other issues concerning the Products.

Job Guarantee Program

In case you have enrolled for SkillupEd’s Job guarantee Program, please go through the job guarantee program terms and conditions carefully prior to your enrollment.

INDEMNITY

You agree to protect and compensate the Company, including its subsidiaries, affiliates, officers, directors, agents, and employees, from any third-party claims, demands, or legal actions resulting from your breach of these Terms of Use, any referenced documents, or any laws or third-party rights. This obligation covers all related legal fees and professional costs.

Pricing Policy Notice

SkillupEd reserves the right to change prices, products, and offers on its website at any time without prior notice.

While we strive to provide the most accurate and up-to-date information, occasional pricing discrepancies may occur on our website due to various factors. These inaccuracies can arise from unintentional human error, technical glitches, inconsistencies in supplier data, or digital imaging mistakes. Despite our best efforts to maintain precision, such errors may happen, and we appreciate your understanding in these rare instances. We continuously work to minimize these occurrences and ensure the reliability of our pricing information.

SkillupEd reserves the right to adjust the pricing of our products, promotions, or special offers due to various factors, including market conditions, course cancellations, supplier changes, pricing revisions, marketing errors, or other unforeseen circumstances. Despite these potential changes, we guarantee that the price you paid at the time of purchase will always be honored, ensuring fairness and transparency for all our customers.

Licensed Usage of SkillupEd’s Proprietary Content :
SkillupEd reserves the right to adjust pricing for any of our products, promotions, or special offers. Such changes may occur due to fluctuating market conditions, course discontinuations, supplier updates, pricing revisions, advertising inaccuracies, or other unforeseen factors. Regardless of any future adjustments, the price you paid at the time of purchase will always remain valid for your enrollment or transaction.

The remaining balance becomes payable only after you successfully secure a job through our program. This unique approach removes financial barriers while keeping your career success as our shared priority.

Termination of Rights

You agree that SkillupEd, in its sole discretion, may deactivate your account or otherwise terminate your use of the Platform or enrolment to a Program with or without reason, including, without limitation, if SkillupEd believes that you have (a) breached the Terms; (b) infringed the intellectual property rights of a third party; (c) posted, uploaded or transmitted unauthorised Content on the Platform; or (d) violated or acted inconsistently with the letter or spirit of these Terms or any other applicable code of conduct (e) or any other reason that SkillupEd deems fit in its sole discretion to restrict access. You agree that any deactivation or termination of your access to the Platforms or Programs may be effected without prior notice to you and that SkillupEd shall not be liable to you nor any third party for any termination of your account or enrolment into a Program. You also acknowledge that SkillupEd may retain and store your information on SkillupEd's systems notwithstanding any termination of your account or enrollment into the Programs.

Miscellaneous Provisions :

1. Eligibility and Age Requirements

By using this Platform, you confirm that you are at least 18 years old or of legal age in your jurisdiction to enter into a binding agreement. If you are under 18, you may only use the Platform under the supervision of a parent or legal guardian who accepts these Terms. Parents/guardians permitting a minor’s use of the Platform are fully responsible for the minor’s actions, including any financial or legal consequences.

2. Governing Law & Dispute Resolution

These Terms are governed by Indian law and must be interpreted under Indian legal principles. Any disputes related to the Platform or these Terms shall be resolved exclusively in the courts of Bangalore.

Negotiation First: Parties must attempt amicable resolution through good-faith discussions.
Arbitration: If unresolved, disputes will be settled by arbitration under India’s Arbitration and Conciliation Act, 1956, with a sole arbitrator appointed by SkillupEd. Proceedings will be in English, with Mumbai as the legal seat.

3. Severability & Force Majeure

If any Term is deemed unenforceable, the remainder of the agreement stays valid.
SkillupEd is not liable for failures caused by unforeseeable events (e.g., natural disasters, war, pandemics, cyberattacks, or government actions).

4. No Waiver of Rights

SkillupEd’s failure to enforce a Term does not waive its right to do so later. If a court invalidates any provision, the parties agree to uphold the original intent where possible.

5. Entire Agreement & Modifications

These Terms (including any Program-specific terms) form the complete agreement between you and SkillupEd. Changes must be in writing and posted on the Platform or agreed upon directly.

6. Transfer of Rights

SkillupEd may assign its rights/obligations without restriction.
Users may not transfer rights without SkillupEd’s prior written consent; unauthorized transfers are void.
